Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the websites, programs, products, memberships, content, and services offered by Elite Operators (“Company,” “we,” “us,” or “our”), including Leadership Recall and related offerings (collectively, the “Services”).

Elite Operators is a sole proprietorship operating in the State of Texas. Leadership Recall is an offering of Elite Operators. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for individuals 18 years of age or older. By using the Services, you represent that you are at least 18 years old and legally capable of entering into a binding agreement.

2. Ownership of Intellectual Property

All content, materials, frameworks, methodologies, systems, templates, videos, recordings, documents, graphics, branding, trademarks, and related materials made available through the Services are the exclusive property of Elite Operators.

You are granted a limited, non-exclusive, non-transferable license for personal, internal use only.

No ownership rights are transferred to you.

3. Permitted and Prohibited Use

You May:

  • Access purchased materials for personal use. Record Learning Labs for internal use only.

  • Use AI tools for personal indexing, summarization, and study.

  • Share publicly available content.

You May Not:

  • Share login credentials.

  • Redistribute private or paid materials.

  • Share Learning Lab recordings, private community discussions, member submissions, or any content made available within paid programs or restricted-access areas of the Services with non-members.

  • Resell or sublicense templates or content.

  • Create derivative commercial works based on our content.

  • Reverse engineer, scrape, or systematically extract content.

  • Use our materials to develop competing commercial programs.

Violation may result in immediate termination without refund.

4. User-Generated Content and Testimonials

By submitting testimonials, feedback, comments, or community content, you grant the Company a perpetual, royalty-free license to use such content for marketing and promotional purposes.

We reserve the right to remove content or terminate membership at our sole discretion.

5. Membership and Subscription Terms

Certain Services operate on a recurring subscription basis.

Subscriptions:

  • Automatically renew each billing cycle.

  • Continue until canceled.

  • May be canceled at any time prior to the next billing date.

  • No partial refunds are provided for mid-cycle cancellation.

Access continues through the end of the current billing period.

6. Cohort Programs and Refund Policy

For structured cohort programs:

  • Refund requests must be submitted in writing within 21 days of the official program start date.

  • Required assignments must be completed in good faith.

  • If these conditions are satisfied, a refund will be issued.

  • After the 21-day window, all sales are final.

Digital products and downloadable materials are non-refundable once accessed or delivered.

7. No Guarantees

The Services are educational and informational in nature.

We guarantee delivery of purchased curriculum and materials. We do not guarantee specific results, outcomes, earnings, promotions, recall improvements, stress reduction, or performance gains.

Individual results vary based on effort and implementation.

8. Limitation of Liability

To the fullest extent permitted by law, the Company’s total liability for any claim arising from the Services shall not exceed the total amount paid by you to the Company in the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, consequential, special, or punitive damages.

9. Indemnification

You agree to indemnify and hold harmless Elite Operators from claims arising out of:

  • Your misuse of the Services.

  • Your violation of these Terms.

  • Your infringement of third-party rights.

10. Termination

We may suspend or terminate access immediately and without refund if you:

  • Violate these Terms.

  • Share protected content.

  • Engage in harassment or misconduct.

  • Fail to make required payments.

Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

11. Dispute Resolution and Arbitration

Any dispute arising from these Terms or the Services shall first be submitted in writing to either of the following:

If the dispute cannot be resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in the State of Texas.

Arbitration shall be conducted on an individual basis only. Class actions and collective proceedings are not permitted.

Nothing in this section prevents either party from seeking relief in small claims court for qualifying disputes.

12. Governing Law

These Terms are governed by the laws of the State of Texas, excluding its conflict of law principles.

13. Successors and Business Transition

In the event Elite Operators converts to a limited liability company or undergoes a business transition, these Terms shall apply to any successor entity.

14. Modifications

We may update these Terms from time to time.

We will notify users of material changes via email or prominent notice on the website.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver of that provision.

16. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements or understandings.
